There are 2 guarantee clauses in the Directors and Officers Liability Policy, namely Side A and Side B

Side A
Directors & Officers Liability:
pay any loss on behalf of the Insured Person for which the Insured Person does not obtain compensation from the Company,

side B
Compensation by the Company (Company reimbursement):
pay any loss for which the Company is permitted or legally required to indemnify the Insured Person,

D&O policy guarantee structure:

Individual and collegial protection
Guarantees include: compensation for decisions, settlements, investigation costs and defense costs that are the responsibility of directors & officers
The company is not guaranteed (but can be guaranteed by an extension of the guarantee, i.e. employment practice and company securities)
Insurance Company is not obliged to defend (no duty to defend – there must be a request)
Territorial boundaries / Territorial Limit
Legal boundaries / Jurisdictional Limit
Policy Interpretation: Indonesian Law (if there is a dispute. This is a matter of interpretation police law)
